Terms and Conditions

These Terms and Conditions (the "Terms") are a binding agreement between you and Team Alpha CoOp ("The CoOp," the "agency," "we," "us" or "our"), a business operated by Heath Marter, an individual, doing business in Tennessee. They cover:

  • Part A: clients who buy or try any of our plans, add-ons or services ("Clients").
  • Part B: anyone enrolled in our affiliate program, including reps and Clients who join it ("Affiliates").
  • Part C: general terms that apply to everyone.

By signing up, starting a trial, paying, joining the affiliate program, or using our service, you agree to these Terms and our Privacy Policy. If you don't agree, don't use the service. If you sign up for a business, you confirm you have the authority to bind that business.

Part A: Client Terms

A1. The service

We provide a white-labeled sales and marketing software account (a "sub-account" or "location") built on third-party software, plus any setup templates we choose to include. Features, templates and integrations may change, be added or be removed over time.

A2. Plans and prices

  • Super Intelligence Biz Suite: a monthly subscription. Current price: $100/month, offered as a limited-time offer of our $200 plan for $100/month. We may end the limited-time offer for new signups at any time.
  • Other plans: we may offer other plans from time to time. The plan and price that apply to you are the ones shown at your signup.
  • Extra accounts: your plan includes 1 account. You can add unlimited additional accounts through the in-account "Add a Location" button (or by us). Accounts 2 and 3 are $1/month each; account 4 and beyond are $10/month each. Any charge for an extra location is shown before it's added.
  • Price changes: we may raise or lower any price, including plan, add-on and usage pricing. For an existing subscription, we'll give you at least 14 days' notice by email before a new plan price applies to your next billing period. If you don't agree, you can cancel before it takes effect.
  • Prices don't include taxes. You're responsible for any sales, use or similar taxes that apply, and we may add them to your charges where required by law.

A3. Trials

  • Some Super Intelligence Biz Suite signup links include a free trial (currently 7 or 14 days). Plans or links without a trial are billed from signup.
  • A valid payment card is required to start a trial.
  • The free trial covers the plan fee only. Usage (texts, calls, email, AI, domains and other usage) is charged to your wallet during the trial.
  • Unless you cancel before the trial ends, your card is charged the plan price when the trial ends, and every month after that.

A4. Billing and automatic renewal

  • Subscriptions renew automatically every month at the then-current price until you cancel.
  • Payments are processed by our payment processor (currently Stripe). You authorize us to charge your payment method on file for subscription fees, add-ons, wallet recharges and taxes.
  • If a payment fails, we or our processor may retry it, and your account may be paused or suspended until payment goes through.

A5. Wallet (prepaid usage)

  • Your account has a prepaid wallet. Usage and certain add-ons are paid from it, including texting, calls, phone numbers, email, AI usage, AI Employee/assistant products, WhatsApp, apps and marketplace purchases, domains, carrier and registration fees, and other usage.
  • Markup: usage and add-ons are billed at the third-party platform's cost plus a 10% markup.
  • Auto-recharge: you authorize us to recharge your wallet automatically from your card on file when the balance falls below the set threshold (currently a $10 recharge when the balance drops below $3; we may adjust these amounts).
  • $0 balance = service stops. If your wallet reaches or falls below $0, usage-based services stop until the wallet is funded again. We aren't responsible for missed messages, calls or other results caused by an unfunded wallet.
  • Domains are non-refundable once purchased.

A6. Cancellation and refunds

  • You may cancel at any time through your account or by emailing [email protected]. Cancellation stops future renewals. It takes effect at the end of your current paid billing period, and you keep access until then.
  • No refunds on used service. Plan fees for a billing period that has started, and wallet funds that have been used, are not refundable, in whole or in part. Domains and third-party charges are never refundable.
  • Unused wallet balance: after cancellation, you may ask in writing within 30 days for a refund of any unused wallet balance, minus processing fees. Refunds of unused balance are at our discretion unless the law requires otherwise.
  • We may issue a refund or credit in a specific case at our sole discretion. Doing so doesn't create a duty to do it again.

A7. Your content and your compliance

  • You own your content and data. You're solely responsible for it, including contacts, messages, calls, recordings, websites, funnels, ads and anything sent from your account.
  • You're solely responsible for following every law and rule that applies to your use of the service, including the Telephone Consumer Protection Act (TCPA) and state telemarketing and texting laws (consent, quiet hours, do-not-call); A2P 10DLC carrier registration and messaging policies; the CAN-SPAM Act and other email laws; and privacy and data-protection laws.
  • You'll get and keep any consent your messages and calls legally require. You won't send spam, unlawful or deceptive content, or use the service for any illegal purpose.
  • We may suspend or remove content or accounts that we reasonably believe break the law, these Terms or a third-party platform's rules.

A8. Third-party platforms

The service depends on third parties we don't control, including HighLevel (the underlying software), Stripe (payments), telephone and messaging carriers, email providers, AI providers and app developers. Their outages, price changes, policy changes, registration decisions or suspensions may affect your service. We aren't responsible for third-party acts, failures or decisions, and your use of their features may also be subject to their terms. We aren't affiliated with or endorsed by HighLevel unless we say so in writing.

A9. As-is service; no warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, uptime, accuracy or results. We don't promise that the service will be uninterrupted, error-free or secure, or that it will produce any leads, sales or income.

A10. Limitation of liability

  • TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, or for lost profits, revenue, data, goodwill or business, even if we were told they were possible.
  • OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
  • These limits apply to every legal theory (contract, tort, negligence, statute or otherwise) and still apply if a remedy fails of its essential purpose.

A11. Your indemnity

You'll defend, indemnify and hold harmless The CoOp, Heath Marter, and our contractors and agents from any claims, losses, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising from: your content; your messages, calls or marketing; your violation of any law (including the TCPA, A2P/10DLC rules, CAN-SPAM or privacy laws); your breach of these Terms; or your use of the service.

A12. Suspension and termination

We may suspend or end your account, with or without notice, for non-payment, a $0 wallet, a breach of these Terms, suspected fraud or abuse, a legal or carrier requirement, or a third-party platform's action. On termination, you're still responsible for unpaid amounts, and Sections A6, A9 to A11 and Part C survive.

A13. Support

Support is offered at the times and through the channels we publish (for example, scheduled live sessions). Paid one-on-one consulting is separate and billed at the published rate. No response time is guaranteed.

Part B: Affiliate Terms

B1. Who can join; independent contractor status

  • Any person or business approved by us may join the affiliate program, including any Client. Clients who enroll earn on the same terms as every other Affiliate.
  • New Affiliates sign up through an existing member's referral link. The first Affiliates sign up through an initial referral link provided by The CoOp.
  • You're an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, franchise or agency relationship. There's no payroll, wages, benefits or withholding. You control your own methods, hours and costs, and you have no authority to bind The CoOp.
  • You're responsible for your own taxes, licenses and business expenses.

B2. Plans that pay commission

Commissions are a percentage of the monthly plan fee: 40% at Level 1 and 10% at Level 2. Example, using the Super Intelligence Biz Suite plan:

  • Any other plan pays the same rates (40% Level 1 / 10% Level 2 of that plan's monthly fee).
  • Two levels only. Level 1 is a paying account that signed up through your referral link, or that we assigned to you from a co-op link lead. Level 2 is a paying account that signed up through the link of an Affiliate who joined through your referral link. Nothing is paid past Level 2.
  • Co-op link leads pay the same. An account we assign to you from the co-op link counts as your Level 1 at the same rates.
  • Commissions follow the plan fee actually paid. Dollar amounts above are based on current prices and change if a price changes. If an account moves to another plan, commissions follow the fee of the plan it's on.

B3. Plan fee only; no commission on upsells or usage

Commissions are earned only on monthly plan fees. No commission is paid on any upsell, add-on or usage, including AI Employee or AI assistant products, WhatsApp, apps and marketplace purchases, phone numbers and calls, SMS, email, AI usage, domains, extra-location fees, wallet recharges, carrier or registration fees, taxes, or consulting.

B4. Lifetime commissions; buyout

  • Lifetime: you earn commission on each referred account for as long as that account stays active and paying. There's no activity or sales quota to keep earning.
  • Secured: we won't end or reduce the percentage rate on accounts you've already referred, unless a buyout is agreed in writing and signed by both you and The CoOp, or unless you're removed under Section B9.
  • Commissions stop for any month an account doesn't pay, and end if the account cancels.

B5. Payouts

  • Commissions are tracked by our affiliate platform and paid out through the platform's payment processor, Stripe. You agree to the processor's terms.
  • You must complete whatever Stripe requires to receive payouts (such as identity, bank and contact details). If Stripe or the platform's processor requires tax information up front, you must provide it at signup.
  • Tax forms: if not already collected at signup, you must submit the applicable tax forms (for example, a Form W-9) and tax information before withdrawing more than $600 in a calendar year. Payouts above that amount are held until the forms are received.
  • You're responsible for your own taxes. We'll issue a Form 1099 where required by law.
  • Commissions earned in a month are paid by the 15th of the following month. Any processing fee charged on your payout is paid by you, at actual cost, with no markup. There's no agency minimum payout, but any minimum set by the platform or processor applies.
  • No clawbacks on refunds: a commission isn't reversed or taken back because a client later receives a refund or makes a chargeback.

B6. Referral tracking; tie-break

  • Whoever's referral link was used gets the credit. If more than one Affiliate claims the same account, credit goes to the last valid referral link or cookie, as tracked by the platform.
  • Referrals are credited on a last-click basis within a 365-day cookie window (last click wins). We aren't responsible for tracking lost to cleared cookies, private browsing, ad blockers or other devices.
  • The platform's tracking records are final. If the platform records no valid referral, no Affiliate commission is owed on that account.
  • You may create your own pages and content to promote the service, as long as they follow these Terms. Every signup button or link on your pages must use your own full referral link, which takes the buyer to our official affiliate page before they start a trial or check out. Every trial start, signup and payment happens on our official pages, never on your page.

B7. Advertising and conduct rules

  • No income claims. Don't promise or suggest any level of income, earnings or results, for Affiliates or for Clients. Don't use earnings examples unless we've approved them in writing.
  • $100/month advertising floor. Never advertise, post or publish any price below $100/month. The Super Intelligence Biz Suite offer may be described only as approved, for example: "Limited-time offer: our $200 plan for $100/mo."
  • No misrepresenting or misbranding. Don't misrepresent the product, its features, pricing, terms or results. Don't present yourself as The CoOp, its owner or employee, or as speaking for any third-party platform, and don't use our or any third party's name or brand in a misleading way. Take down any ad or post when we ask.
  • Affiliates never invoice or collect payment. All payments are made by Clients directly through our official checkout. Never take money, card details or login credentials from a Client.
  • No spam. Follow the CAN-SPAM Act, the TCPA, A2P/10DLC carrier rules, platform rules and all other marketing laws. No unsolicited bulk email or texts, no autodialed or prerecorded calls without the required consent, and no purchased or scraped lists.
  • No self-dealing or fraud. No fake or duplicate accounts, no buying accounts you control to earn commission, no paying people to sign up and cancel, no cookie stuffing or forced clicks, no bidding on our brand name in paid search unless we approve it, and no other attempt to manipulate tracking. Commissions earned through fraud or a breach of these Terms aren't earned and may be withheld.
  • Co-op join links are personal and may not be forwarded.

B8. Changes to the program

We may change the program, plans and these Terms under Section C6. Changes don't reduce the percentage rates on accounts you've already referred, except as allowed under Section B4.

B9. Violations; removal and termination

Violations may lead to removal from earning future affiliate commissions, and termination, at the agency's discretion. Any commission withheld for fraud is forfeited. You may leave the program at any time by notice to us; if you leave in good standing, commissions on your active, paying referred accounts continue under Section B4 as long as you keep a valid payout account.

B10. Affiliate indemnity

You'll defend, indemnify and hold harmless The CoOp and Heath Marter from any claims, fines and costs (including reasonable attorneys' fees) arising from your marketing, your statements, your breach of these Terms or your violation of any law.

Part C: General Terms (everyone)

C1. Binding individual arbitration

Please read this section carefully. It affects your legal rights.

  • Any dispute, claim or controversy relating to these Terms, the service or the affiliate program (a "Dispute") will be resolved by binding individual arbitration, not in court, except that either party may bring an individual claim in small claims court.
  • Before filing, the party with a Dispute must send a written notice describing it and try in good faith to resolve it for 30 days.
  • The arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules, before a single arbitrator. Unless the parties agree otherwise, it will be held in Hamilton County, Tennessee, or by video or written submissions. The Federal Arbitration Act governs this section.
  • The arbitrator may award only the individual relief available in court and must follow these Terms, including the limits of liability.

C2. Class-action waiver

You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine claims of more than one person. If this waiver is found unenforceable for a claim, that claim must go to court, not arbitration, and stays subject to Section C3.

C3. Governing law and venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. For any matter not subject to arbitration, the state and federal courts located in Hamilton County, Tennessee have exclusive jurisdiction, and you consent to them.

C4. Severability

If any part of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent allowed, and the rest of the Terms stay in full effect.

C5. Entire agreement; no waiver

These Terms and the Privacy Policy are the entire agreement on their subject. Any signed written agreement between you and The CoOp (such as a buyout under Section B4) controls over these Terms for its subject. Our failure to enforce a term isn't a waiver of it.

C6. Right to change these Terms

We may change these Terms at any time by posting the updated version at https://www.teamalphacoop.com/terms and updating the "Last updated" date. For material changes, we'll give reasonable notice by email or in your account. Continuing to use the service or the affiliate program after a change takes effect means you accept it. Price changes for existing subscriptions follow Section A2, and affiliate rate protections follow Sections B4 and B8.

C7. Assignment

You may not assign these Terms without our written consent. We may assign them, for example to a business entity we form or a buyer of the business.

C8. Notices

We may send notices to the email on your account. You may send notices to [email protected].

C9. Force majeure

We aren't liable for delays or failures caused by events beyond our reasonable control, including third-party platform, carrier, processor, internet or power failures.

C10. Privacy

Our Privacy Policy explains what we collect and how we use it. In short: we collect account, contact, billing and usage information to provide the service, process payments, run the affiliate program, give support and meet legal duties. Payments are handled by Stripe; we don't store full card numbers. We don't sell personal information. Mobile numbers and text-messaging opt-in data are not shared with third parties or affiliates for their marketing purposes.
